Mr. Md. Imam Hassan, FCA

Independent Director & Chairman of Audit Committee

Mr. Md. Imam Hassan, FCA, is an Independent Director and Chairman of the Board Audit Committee of United Commercial Bank PLC. He brings over three decades of extensive professional experience in finance, audit, and corporate governance across Bangladesh's real estate, garments and textile, and agro-based industries.

A Fellow Member of the Institute of Chartered Accountants of Bangladesh (ICAB), Mr. Hassan completed his articleship with ACNABIN & Co., Chartered Accountants, and holds a Master of Commerce degree. He currently serves as a Partner at G. Nabi & Co., Chartered Accountants, a position he has held since March 2024.

Throughout his distinguished career, Mr. Hassan has held senior financial leadership positions across some of Bangladesh's most prominent corporate houses. He served as General Manager – Finance & Accounts at Building Technology & Ideas Ltd. for fourteen years, followed by tenures as Chief Financial Officer at Eppilion Group, Golden Harvest Agro Industries Ltd. (a publicly listed agro-based company), and NAZ Textile Industries Ltd. He has also served as Shareholder Director of J & H Holdings Ltd., a real estate company.

Mr. Hassan brings valuable boardroom experience to UCB PLC, having previously served as Independent Director and Chairman of the Audit Committee at Hwa Well Textiles (bd) PLC, a publicly listed company, between 2014 and 2017. This prior governance role, combined with his deep technical expertise, positions him well to strengthen the Bank's audit oversight and internal control framework.

His core areas of expertise span financial management, audit and assurance, corporate compliance, taxation and VAT, budgeting and forecasting, internal control and risk management, corporate finance, and IPO-related regulatory compliance gained through hands-on experience supporting public listing processes.

With his extensive cross-industry exposure and strong command of regulatory and governance frameworks, Mr. Hassan is expected to play a pivotal role in reinforcing UCB PLC's commitment to sound financial discipline, transparency, and robust audit governance, further strengthening stakeholder confidence in the Bank's strategic direction.
